Terms of Service

1. Acceptance of Terms
By accessing or using StandardPulse ("the Service"), you agree to be bound by these Terms of Service. The Service is owned and operated by StandardPulse LLC, a California limited liability company ("Company", "we", "us", or "our"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
StandardPulse is a GRC (Governance, Risk, and Compliance) intelligence platform that provides standards tracking, regulatory analysis, compliance mapping, and AI-powered reporting capabilities. The Service is currently in Beta and features may change without notice.
3. Beta Disclaimer
The Service is provided as a Beta release. While we strive for accuracy and reliability, you acknowledge that:
- Features may be added, modified, or removed at any time.
- The Service may experience downtime or interruptions.
- AI-generated analyses are for informational purposes and should be reviewed by qualified professionals before relying on them for compliance decisions.
- Data loss may occur during beta — we recommend maintaining independent backups of critical data.
4. Billing, Invoicing, and Merchant of Record
Access to the Service requires a paid subscription. Applicable fees for monthly, annual, and volume-licensed plans are displayed on the StandardPulse website at the time of checkout. All fees are stated in U.S. Dollars and are exclusive of applicable taxes.
Our order process, tax collection, and invoice generation are conducted by our authorized Merchant of Record, Paddle.com. By providing a valid payment method, you authorize Paddle to charge the subscription fees on a recurring, automated basis. Monthly plans are billed every thirty (30) days from the activation date. Annual plans are billed in full upfront for a twelve (12) month period. All billing inquiries, invoices, and payment receipts will be managed and issued directly by Paddle.
5. Upgrades, Cancellations, and Non-Refundable Terms
If a subscription is upgraded from a monthly to an annual plan, or if additional user seats are added under a volume license tier, the new billing rate will be applied immediately. A prorated charge for the remainder of the current billing cycle will be executed at the time of the upgrade.
Subscriptions may be canceled at any time. Because payment processing is handled by our Merchant of Record, cancellations must be executed through the self-service payment management portal (accessible via your account dashboard or the secure link provided in your Paddle subscription emails), rather than directly through the StandardPulse platform infrastructure.
Upon cancellation, access to the Service will remain active until the conclusion of the current paid billing cycle. All payments are strictly non-refundable. There are no prorated refunds or credits for partially used periods, abbreviated annual terms, or unused volume licenses.
6. User Accounts
You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or fall into payment arrears.
7. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose.
- Attempt to gain unauthorized access to systems or data.
- Interfere with or disrupt the Service's infrastructure.
- Use automated scripts, bots, or programmatic tools to access the Service without prior written consent.
- Submit excessive or unreasonable volumes of content for AI processing in a manner that degrades the Service for other users.
- Systematically extract, scrape, or bulk-download the Service's outputs, analyses, or control mappings.
- Reverse engineer or attempt to extract source code from the Service.
- Share your account credentials with unauthorized parties.
- Resell, redistribute, or commercially exploit the Service's outputs without authorization.
8. Usage Limits & Fair Use
The Service includes AI-powered features that consume computational resources. To ensure quality and availability for all users, we enforce reasonable usage limits:
- AI analysis requests are subject to per-user rate limits.
- Bulk or batch processing of documents may be throttled during periods of high demand.
- We reserve the right to suspend accounts that exhibit patterns of abuse or excessive automated usage.
If high-volume needs exceed standard usage limits, contact us to discuss enterprise arrangements.
9. Intellectual Property
Your Data: You retain all rights to data you upload or create within the Service. You grant us a limited license to process your data solely to provide the Service.
Our Service: The Service, including its design, code, and branding, is the intellectual property of StandardPulse LLC. The compliance control mapping data is based on the Secure Controls Framework (SCF), used in accordance with their licensing terms.
10. AI-Generated Content
Certain features generate content using artificial intelligence (Google Gemini). AI-generated analyses, reports, and recommendations are provided as-is and should not be considered legal, regulatory, or professional advice. You are responsible for reviewing and validating all AI-generated content before making compliance decisions.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. STANDARDPULSE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OF THE SERVICE. THIS EXPLICITLY INCLUDES, BUT IS NOT LIMITED TO, ANY LIABILITY FOR FAILED COMPLIANCE AUDITS, REGULATORY FINES, LOSS OF CERTIFICATIONS, OR BUSINESS INTERRUPTIONS RESULTING FROM COMPLIANCE DECISIONS MADE BASED ON THE PLATFORM'S OUTPUTS, MAPPINGS, OR DISPOSITION TRIAGE LOGIC.
12. Termination
Either party may terminate this agreement at any time. Upon termination, access to the Service will be immediately revoked at the end of the applicable billing cycle. The Company reserves the right to delete all associated data immediately upon final account termination. It is the sole responsibility of the account holder to export any required data prior to executing a cancellation.
13. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated through the Service. Continued use after changes are posted constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
